Filippo Corsi appointed as non-executive Director. Barbara Biassoni and Riccardo Tiscini appointed as non-executive and independent Directors at Ansaldo STS.
Today, Ansaldo STS informs that its Board of Directors has elected Mr. Filippo Corsi (General Counsel and Chief Compliance Officer of Ansaldo STS) as new Non-Executive Director. Moreover, Ms. Barbara Biassoni and Mr. Riccardo Tiscini have been appointed as new Non-Executive and Independent Directors, replacing Ms. Rosa Cipriotti, Mr. Michele Alberto Fabiano Crisostomo and Mr. Fabio Labruna, all resigning advisors since November 2nd, 2018.
It is specified that new directors would only be in office until the next Shareholders’ Meeting of the Company.
Moreover, it should be noted that Ms. Barbara Biassoni and Mr. Riccardo Tiscini have attested their independence requirements as prescribed by art. 148, paragraph 3 of the Italian Consolidated Law on Financial Intermediation (applicable to directors as provided for by art. 147-ter, paragraph 4 of the Italian Consolidated Law on Financial Intermediation), by the Corporate Governance Code of Borsa Italiana S.p.A. and by art. 16 of Consob regulations by resolution number 20249 of December, 28th 2017.
In accordance with art. 148, paragraph 3 of the Italian Consolidated Law on Financial Intermediation (applicable to directors as provided for by art. 147-ter, paragraph 4 of the Italian Consolidated Law on Financial Intermediation), with the Corporate Governance Code of Borsa Italiana S.p.A. and with art. 16 of Consob regulations by resolution number 20249 of December, 28th 2017, the Board of Directors has evaluated the independence of Ms. Barbara Biassoni and Mr. Riccardo Tiscini. The Board of Directors has operated in compliance with assessment criteria stated by the Corporate Governance Code while evaluating independence requirements.
To conclude, it should be noted that new directors do not hold any office within Corporate Committees and that, to this date, they do not hold shares of Ansaldo STS S.p.A.
